Terms of Service
1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the RecoverRail platform, operated by Siphalion Private Limited ("Company", "we", "us"). By creating an account or using the Service you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
2. The Service
RecoverRail is a SaaS platform that helps businesses send automated WhatsApp payment reminders and manage invoice collections. Features vary by subscription plan. We reserve the right to add, modify, or remove features at any time with reasonable notice.
3. Free trial
New accounts receive a 7-day free trial with full access to the Growth plan features. No credit card is required to start. At the end of the trial period:
- Your account moves to a read-only state until you subscribe.
- No messages will be sent and no reminders will be triggered.
- Your data is retained for 30 days before deletion if you do not subscribe.
We reserve the right to modify trial duration or eligibility at any time.
4. Subscriptions and payment
Paid plans are billed monthly in advance in Indian Rupees (INR) inclusive of applicable GST. Prices are as listed on our pricing page and may change with 30 days' notice. You authorise us to charge your payment method on a recurring basis until you cancel.
- Starter: Rs. 499/month
- Growth: Rs. 999/month
- Pro: Rs. 1,999/month
All payments are processed by Razorpay. We do not store card details. Failed payments result in a 3-day grace period before account suspension.
5. Cancellation and refunds
You may cancel your subscription at any time from your account settings. Your access continues until the end of the current billing period, after which no further charges will be made. We do not offer prorated refunds for unused days except where required by law.
If you believe you were charged in error, contact siphalion@gmail.com within 7 days of the charge and we will review your case.
6. Acceptable use
You agree not to use the Service to:
- Send unsolicited messages or spam to people with whom you have no prior business relationship.
- Harass, threaten, or abuse any individual.
- Violate any applicable Indian law, including the IT Act 2000, TRAI regulations, or WhatsApp's Business Messaging Policy.
- Impersonate another person or business.
- Transmit malware or interfere with the platform's infrastructure.
- Resell or sublicense access to the Service without our written permission.
Violation of this section may result in immediate suspension or termination of your account without refund.
7. Your content and data
You retain full ownership of the data you upload (client names, invoice details, phone numbers). You grant us a limited licence to process and transmit this data solely to provide the Service. You are responsible for ensuring you have the right to upload and act on this data, including compliance with the Digital Personal Data Protection Act, 2023 and any other applicable data protection law. We process personal data contained in your uploads in our capacity as a Data Processor acting on your instructions.
8. WhatsApp Business API compliance
The Service relies on the WhatsApp Business Platform. Your use of WhatsApp-powered features is also subject to Meta's Business Terms of Service and Messaging Policy. We may be required to suspend message sending if Meta restricts our API access; in such cases we will notify you promptly and are not liable for resulting delays in collections.
9. Limitation of liability
To the maximum extent permitted by Indian law, the Company's total liability for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.
We are not liable for:
- Indirect, incidental, or consequential damages.
- Lost profits or uncollected invoices.
- Failures caused by WhatsApp, third-party APIs, or events outside our reasonable control.
10. Disclaimers
The Service is provided "as is" and "as available." We do not guarantee that reminders will result in payment, that message delivery will be uninterrupted, or that the Service will be error-free. Collections outcomes depend on your clients' behaviour, which is outside our control.
11. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if required by law. On termination, your data will be available for export for 30 days and then permanently deleted.
12. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
13. Changes to these terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email and via an in-app banner. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
